Terms of Service

Introduction
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and HourChimp LLC ("HourChimp," "we," "us," or "our") governing your access to and use of the HourChimp web application and related services (collectively, the "Service").
BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
Age Requirement
You must be at least 18 years old to create an account or use the Service. By registering, you represent and warrant that you meet this requirement and have the legal capacity to enter into this agreement.
Account Responsibilities
You are responsible for:
• Providing accurate, current information (including a valid email address for magic-link authentication).
• Maintaining the security of your authenticated session and any device used to access your account.
• All activity that occurs under your account, whether or not authorized by you.
• Promptly notifying us at security@hourchimp.com of any unauthorized access or security breach.
We reserve the right to refuse registration or terminate accounts that provide false or misleading information.
Authentication
Access to HourChimp is granted via email magic links and/or supported OAuth providers. You are solely responsible for maintaining control of the email inbox or OAuth account associated with your HourChimp account, as this serves as your primary credential.
The Service
HourChimp is a micro-retainer tracking tool that allows Users (freelancers and agencies) to log time against client retainers, monitor balances, and share read-only balance views with their own clients ("End Clients") via tokenized links. You retain ownership of all data you input into the Service, including client names, retainer terms, and time entries ("User Content"), subject to the limited license granted in Section 8.
Billing Cycles
HourChimp is offered on a subscription basis with Monthly and Yearly billing options. Yearly subscriptions are billed at a discounted rate compared to the cumulative monthly price, applied automatically at checkout - no separate promo code is required.
Automatic Renewal
Subscriptions automatically renew at the end of each billing cycle (monthly or yearly) unless canceled prior to the renewal date. You authorize us (via Stripe) to charge your payment method on file for each renewal term at the then-current subscription rate, unless you cancel beforehand.
Free Tier
We may offer a free tier or trial with limited features or usage caps, as described on our pricing page at the time of signup. We reserve the right to modify or discontinue the free tier's scope with notice, in accordance with Section 9.
Pricing Changes
We reserve the right to change subscription pricing. For existing subscribers, price changes will take effect at the start of the next billing cycle following at least [30] days' notice via email or in-app notification.
Cancellation
You may cancel your subscription at any time via 1-click cancellation through the Stripe Customer Portal, accessible from your account settings. Cancellation will take effect at the end of your current billing period; you will retain access to paid features until that date.
Refund Policy
Except as required by applicable law, all subscription fees are non-refundable, including partial billing periods. If you cancel mid-cycle, you will not receive a prorated refund for the unused portion, but you will retain access through the end of the paid term. [ALTERNATE CLAUSE — IF YOU PREFER A PRORATED REFUND POLICY, REPLACE THIS SECTION: "If you cancel your subscription, we will issue a prorated refund for the unused portion of your current billing cycle, calculated on a daily basis."]
Payment Processing
All payments are processed securely via Stripe. By subscribing, you also agree to Stripe's terms of service applicable to payment processing. HourChimp does not store your full payment card details
Failed Payments
If a renewal payment fails, we (via Stripe's dunning process) may retry the charge and/or notify you to update your payment method. We reserve the right to suspend access to paid features if payment is not resolved within a reasonable grace period (typically [7–14] days).
Acceptable Use Policy
You agree not to, and not to permit any third party to:
• Use the Service for any unlawful purpose, including unauthorized or covert surveillance, tracking, or monitoring of individuals without proper legal basis or consent.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except where such restriction is prohibited by applicable law.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its infrastructure, or other Users' accounts or data.
• Use automated scripts, bots, or scrapers to access the Service outside of any officially provided API.
• Upload malicious code, attempt to probe for vulnerabilities, or circumvent the tokenized access controls protecting End Client portal links.
• Misrepresent your identity, impersonate another person or entity, or use the Service to harass, defraud, or harm others.
• Resell, sublicense, or provide third-party access to the Service in violation of your subscription tier's permitted use.
• Use the client portal token links to distribute content unrelated to legitimate retainer/billing transparency with your own clients.
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account under Section 9.
Client Portal & Third-Party Data Responsibility
You acknowledge that any Client and Retainer Data (names, rates, hours, descriptions) you input is your own responsibility to collect and use lawfully. You represent that you have the necessary rights, permissions, or legal basis (e.g., under your own agreements with your clients) to store and share this information via the Service, including via tokenized End Client portal links. HourChimp acts solely as a data processor for this User Content and disclaims responsibility for the legality of Users' underlying data collection practices.
Fees for Third-Party Services
You are solely responsible for any fees, taxes, or charges imposed by your bank, card issuer, or Stripe in connection with your subscription payments.
Our IP
The Service, including its software, design, branding, and underlying technology, is owned by HourChimp LLC and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.
Your Content License
You retain all ownership rights to your User Content. By using the Service, you grant us a limited, non-exclusive, worldwide license to host, store, process, and display your User Content solely as necessary to operate and provide the Service to you (and to your designated End Clients via portal links you create).
Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. YOU USE THE SERVICE AT YOUR OWN RISK.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(a) IN NO EVENT SHALL HourChimp LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(b) OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU ACTUALLY PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
(c) SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Indemnification
You agree to indemnify, defend, and hold harmless HourChimp LLC and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of: (a) your violation of these Terms; (b) your User Content, including any Client and Retainer Data you input; (c) your violation of any applicable law or third-party right, including in connection with your use of the Client Portal feature.
Service Modifications
We reserve the right to modify, update, or discontinue any feature of the Service at any time. Where a modification materially reduces core functionality of a paid tier, we will provide reasonable advance notice where practicable.
Suspension for Violations
We may suspend or restrict your access to the Service, without prior notice, if we reasonably believe you have violated these Terms, the Acceptable Use Policy, or applicable law, or if your account poses a security risk to the Service or other Users.
Termination
Either party may terminate this agreement at any time. You may terminate by canceling your subscription and/or deleting your account. We may terminate or suspend your account for cause (including non-payment or Terms violations) or, for convenience, upon at least [30] days' written notice, subject to any applicable refund obligations under Section 3.6.
Effect of Termination
Upon termination, your right to access the Service ceases immediately. Data deletion following termination is handled in accordance with our Privacy Policy.
Discontinuation of Service
Should we decide to discontinue HourChimp entirely, we will provide Users with at least [60] days' advance notice and a reasonable opportunity to export their data prior to shutdown.
Modifications to These Terms
We may revise these Terms from time to time. Material changes will be communicated via email or in-app notice at least [14] days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of The United States of America & The United Kingdom, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in The United States of America & The United Kingdom, unless otherwise required by applicable consumer protection law.
General Provisions
• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
• No Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right.
• Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Force Majeure: We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control.
